Welcome to Reach. These Terms of Service ("Terms") are an agreement between Inway Communications and the person or business that registers for or uses Reach. By creating an account or using reach.bz, you agree to these Terms. If you do not agree, do not use the service.
These Terms are an electronic record under the Information Technology Act, 2000. They are generated by a computer system and need no physical or digital signature.
1. Who we are
Reach is an AI-assisted catalogue and website portal operated by Inway Communications ("Inway", "we", "us", "our"), No. 301, 3rd Street Extension, 100 Feet Road, Gandhipuram, Coimbatore 641012, Tamil Nadu, India, GSTIN 33AUIPM6453D2ZP. "Reach by Inway®" and "Reach" are our brand names. "You", "your" or "Client" means the person or business that registers.
These Terms apply together with our Privacy Policy, Acceptable Use Policy, Fair Usage Policy, Refund and Cancellation Policy, Cookie and Analytics Policy and Data Processing Terms, which are linked from every page of reach.bz (together, the "Agreement"). If you buy Reach in bulk to resell, our Partner Terms also apply and take precedence over these Terms where they conflict.
2. The service
We let Clients host a website or business catalogue on reach.bz, connect their own domain name to it, and use tools such as analytics, forms, call and WhatsApp buttons, email credits and AI-assisted content features (the "Service"). Features, plans and prices may change; we will tell you before a change that reduces what you paid for. Plans described as "unlimited" are subject to our Fair Usage Policy.
Parts of the Service are provided by third parties, such as domain registrars, cloud hosting, content delivery, email and messaging providers, payment gateways and analytics tools ("Third-Party Providers"). For those parts we act only as an intermediary between you and the provider. Those parts are provided on an "as is" basis, their own terms apply, and we are not responsible for their performance, outages, pricing or policy changes.
3. Account
Anyone, anywhere in the world, may register. You do not need a registered company. You confirm that you are legally able to enter into this Agreement under the law that applies to you, and that you are responsible for following the laws of the place where you live and do business. If you are under 18, a parent or guardian must accept this Agreement and hold the account on your behalf, and the account must be registered in their details.
You must give accurate registration details, which may include your name, business name, address, email address, mobile number, GSTIN where applicable, and your domain name, and keep them current. You must not give false details, register in another person's name without their permission, impersonate anyone, or use details that are offensive or unlawful.
You are solely authorised to operate your account. Keep your login credentials confidential, prevent unauthorised access to your devices, and log out at the end of each session. You are responsible for everything done through your account. Tell our Grievance Officer at once if you suspect unauthorised use or any security breach. We are not liable for loss arising from your failure to follow this clause, and you may be liable for loss we or another user suffer from unauthorised use of your account.
If details you give are found to be false or inaccurate, we may refuse registration, suspend or terminate the account and restrict your future use of the Service, without prior notice.
4. Your content and your domain
"Your Content" means everything you add through the Service: text, images, videos, logos, product and price data, documents and any other material about your business, products or customers.
You own Your Content and you are solely responsible for it. We do not pre-screen it, do not endorse it, and have no duty to monitor it. You give Inway a non-exclusive, worldwide, royalty-free licence to host, store, copy, resize, convert, cache and display Your Content, including through a content delivery network and through Third-Party Providers, only to run and improve the Service for you.
You confirm that you hold all rights and permissions for Your Content and for any domain name you connect, that Your Content is original to you or properly licensed, and that Your Content and your business comply with law and with our Acceptable Use Policy. If you use the Service to design a logo or other artwork, you must not copy or infringe anyone else's mark.
We may monitor, review, edit, remove, disable, refuse, restrict or terminate access to any content, in whole or in part, at any time and at our sole discretion, with or without notice.
5. Licences and permits for your business
You must obtain, hold, maintain and renew every licence, registration, permit or approval your business needs under the law that applies to you, including GST registration, FSSAI registration for food, and any professional or product licence. We do not provide, verify or check these. You are solely responsible for them, and you will indemnify us against any claim by a third party or an authority arising from your non-compliance.
6. AI output, AEO, SEO and GEO
Some features generate or suggest text, descriptions, images or SEO content. AI output can be wrong, incomplete, misleading or similar to other output. You must review it before publishing. You are responsible for its accuracy, legality and fitness for your business, including product claims, prices and licences. We do not warrant AI output and are not responsible or liable for any error, omission, infringement, loss or claim arising from it or from your use of it.
Visibility (AEO, SEO and GEO): depending on your plan, we apply answer-engine, search-engine and generative-engine optimisation to help your catalogue become more visible. We work to improve visibility, but we do not promise any ranking, placement, citation, impression, traffic, lead or sale. Search engines and AI assistants, such as Google, Bing, ChatGPT, Gemini and Perplexity, set and change their own algorithms, policies, indexes and sources without notice, and we are not responsible for results that change because of them.
7. Fees and payment
Fees are shown at purchase and are billed by Inway Communications, with GST as applicable. Domain names, hosting, email, WhatsApp and email credits may be charged separately. Fees are due in advance. All statutory taxes on the Service are borne by you.
You may upgrade by paying the difference between your current plan and the new one. If you cancel a paid plan, the account moves to the lowest plan available or is closed, as the plan page states. Prices are reviewed from time to time and may change; we will tell you of a change that affects your plan.
Refunds and cancellations are governed only by the Refund and Cancellation Policy. We may suspend the Service for non-payment after notice.
We are not responsible for any loss arising from a payment being unauthorised, exceeding a limit set by you or your bank, failing or being declined, or for the acts of any payment provider. You authorise us to collect and process payments electronically.
8. Analytics and visitor data
You may install analytics (Google Analytics, Microsoft Clarity) and tracking of visits, call clicks and form submissions on your site. You are the data fiduciary for your visitors' personal data. You must display a lawful privacy notice and obtain any consent required, and you must comply with the terms of any analytics, social media or advertising platform you use. We may provide a template or a generator for such notices; you must review and adopt it, it is not legal advice, and you remain responsible for it. Our Data Processing Terms apply.
9. Communications and marketing consent
By registering and verifying your mobile number or email address, you agree to receive service messages from us, including login codes, transactional notices, invoices, renewal reminders, technical and security alerts.
Promotional and marketing communications are separate and optional. If you tick the marketing box at sign-up, or opt in later, you expressly consent to receive promotional communications from us and our authorised representatives, by call, SMS, WhatsApp, email and other electronic means, about our services, offers and updates, even if your number is registered on the DND or NCPR list under the Telecom Commercial Communications Customer Preference Regulations, 2018. You may withdraw that consent at any time by following the instructions in the message or by writing to support@reach.bz, and withdrawing it does not affect your use of the Service. Withdrawing it does not stop service messages, which are necessary to run your account.
We try to deliver notifications and reminders promptly but do not guarantee delivery and are not liable for a failure to send or deliver one.
10. Acceptable use
You must follow the Acceptable Use Policy, which lists what you may not host, publish or sell through Reach. We may remove content, disable features, suspend or terminate accounts that breach it or that we reasonably believe are illegal or harmful, and may report them to the authorities.
11. Restrictions
You must not:
- copy, reproduce, republish, sell, resell, rent, license, alter or exploit the Service, its software, code, design, templates or documentation;
- reverse engineer the Service, or use it to build a similar or competing product;
- use any crawler, spider, robot, scraper, data-mining tool or automated process to extract any part of the Service, or build a database from it;
- probe, scan or test the vulnerability of our systems, or tamper with our security, architecture or technology;
- introduce a virus, worm, trojan, logic bomb or any other harmful code;
- gain unauthorised access to, interfere with, damage or disrupt our servers, systems or any connected network;
- remove or alter any copyright, trademark or proprietary notice;
- sub-licence, share, resell or create any charge over your account or plan, except under our Partner Terms;
- make false or malicious statements about the Service, Reach or Inway;
- use the Service for spamming, flooding, phishing, trolling or any other disruptive or destructive act.
12. Intellectual property
The Reach name, logo, software, code, interface, design, templates, text, graphics and documentation, and the arrangement of them, belong to Inway and its licensors, whether or not registered. You get a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose while your account is active, and no other rights. You must not use our name, logo or trademarks, or frame our pages, or use our marks in meta tags or hidden text, without our written consent. Any unauthorised use ends this licence.
Feedback, comments, ideas and suggestions you give us may be used by us freely and without payment.
13. Your warranties
Each time you use the Service, you represent and warrant that:
- you are legally able to enter into this Agreement;
- the information you give us is true, accurate, lawful and up to date;
- your use of the Service does not breach any law, any contract you are bound by, or anyone's intellectual property rights;
- you hold the licences and registrations your business needs;
- no litigation or claim is pending or threatened that would prevent you performing this Agreement;
- you are not subject to sanctions, and are not owned or controlled by a sanctioned party, under any list maintained by the United Nations Security Council, the Government of India (including the Ministry of Home Affairs list of banned organisations), the United States Government, the European Union or any other competent authority.
14. Availability
We work to keep the Service available but do not promise uninterrupted or error-free operation. Access may be suspended or restricted for repair, maintenance or new features. We are not responsible for problems caused by your internet connection, device or network. We may not be able to restore content lost through causes outside our reasonable control, so you should keep your own copies of Your Content.
15. Suspension and termination
You may stop using the Service at any time by writing to support@reach.bz. Stopping does not cancel an obligation that has already arisen.
We may refuse to register any person, decline to provide the Service, or suspend, restrict or terminate any account at our sole discretion, with or without notice and without giving reasons, including where you breach this Agreement, misrepresent information, create legal, security or reputational risk, fail to pay, or where we cannot verify information you gave us, or where the law requires it.
On termination your site may be taken offline and Your Content deleted after a reasonable period, subject to law. Fees are refundable only as the Refund and Cancellation Policy allows. Clauses that by their nature should continue, including fees owed, intellectual property, warranties, disclaimers, indemnity, liability and governing law, survive termination.
16. Disclaimer
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties and representations, express or implied, including as to quality, suitability, accuracy, reliability, performance, merchantability, fitness for a particular purpose and non-infringement; that the Service will be available at all times or free of defects, viruses or harmful components; that defects will be corrected; or that any search ranking, traffic, leads, sales or business result will follow.
We are not responsible for the content of any third-party site linked to or from the Service, and you access such sites at your own risk and expense.
17. Limitation of liability
To the fullest extent permitted by law, neither Inway nor its proprietor, employees, agents, consultants, licensors or service providers is liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, data, goodwill, business or reputation, arising from or connected with the Service or your inability to use it, even if we were told such loss was possible.
We are not liable for content posted, transmitted or received through the Service by any person, for unauthorised access to or alteration of your data, or for the acts or omissions of other users. We are not obliged to mediate or resolve a dispute between users.
Our total liability for all claims relating to the Service is limited to the fees you paid to Inway for the Service in the three months before the event giving rise to the claim.
No proprietor, officer or employee of Inway is personally liable for anything connected with the Service.
Nothing in this Agreement excludes liability that cannot lawfully be excluded.
18. Indemnity
You will indemnify, defend and hold harmless Inway, its proprietor, employees, agents and representatives from and against all third-party claims, losses, liabilities, damages and costs, including reasonable legal fees, arising from Your Content, your domain, your products or services, your use of the Service, your breach of this Agreement or of law, your failure to hold a required licence, or your misuse of visitor data. We will tell you promptly of any such claim, and you will give us reasonable assistance in defending it, at your expense.
19. Intermediary role
For content hosted for Clients, Inway acts as an intermediary under the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We act on valid court or government orders and on complaints sent to our Grievance Officer.
20. Audit and records
We may, at our own cost and on reasonable written notice, audit or examine the records, invoices and data needed to establish whether you comply with this Agreement, and you will give reasonable assistance. If an audit shows non-compliance, we may terminate or suspend the Service or require you to correct it within the time we set. You must keep records of your transactions under this Agreement for the term and for 8 years afterwards, or longer if the law requires.
21. Anti-bribery and anti-corruption
You will comply with all anti-corruption laws that apply to you, including the Prevention of Corruption Act, 1988 and the Bharatiya Nyaya Sanhita, 2023. You will not, directly or indirectly, offer or give anything of value to any government official, employee, political party or candidate to influence an act or decision improperly, or to improperly promote any business interest. You will not retaliate against anyone who reports a suspected breach of this clause in good faith.
22. Reporting a breach by another user
If you believe another user, or a site hosted on Reach, is breaching this Agreement or the Acceptable Use Policy, tell our Grievance Officer at support@reach.bz with a short statement of the suspected breach, the page address and supporting evidence such as screenshots. We may act at our discretion, and we may also act against anyone who makes frivolous or bad-faith complaints.
23. Testimonials and reviews
If you give us a testimonial, review or rating, you agree that we may publish it, in full or edited for length and clarity, on reach.bz and in our marketing, with your business name. Write to support@reach.bz if you want it removed.
24. Use outside India
We offer the Service worldwide, but we make no representation that it is appropriate or available for use in any particular country. If you use the Service from outside India, you do so at your own risk and are responsible for complying with your local law, including any data protection, consumer, tax and export control law. This Agreement is not an offer or solicitation in any place where that would be unlawful.
25. Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including outages of internet, power, hosting, payment or third-party services, natural events, epidemics, strikes, government action, war or cyber attack.
26. Changes to these Terms
We may update these Terms. The updated version applies from the date shown at the top, and we will notify you by email or in your dashboard of a material change. Please review this page from time to time. Continued use after the effective date means you accept the change.
27. Notices
We may send notices to your registered email address or mobile number. You may send notices to support@reach.bz or by post to our address above.
28. Waiver and severability
No provision is waived and no breach is excused unless we agree in writing. A waiver of one breach is not a waiver of another. If a provision is held unenforceable, it is excluded and the rest of the Agreement continues, interpreted so far as possible to give effect to its intention.
29. Governing law and disputes
This Agreement is governed by the laws of India. Please first raise any dispute in writing with our Grievance Officer and allow 30 days to resolve it. Failing that, the courts at Coimbatore, Tamil Nadu have exclusive jurisdiction.
30. Entire agreement and assignment
This Agreement is the whole agreement between you and Inway for the Service and supersedes anything said or written before it. You may not assign it without our written consent; we may assign it to a successor of the business. Nothing in it creates a partnership, agency, joint venture or employment between us.
